Corporate M&A Attorney

A highly regarded business law firm is seeking a Corporate M&A Attorney to join its growing transactional practice. The firm represents private companies, investors, and business owners in complex corporate transactions and strategic business matters. Known for its sophisticated deal work and collaborative culture, this opportunity offers exposure to high-value transactions, direct client interaction, and long-term growth within a dynamic corporate practice.

The Corporate M&A Attorney will play a key role in advising clients on mergers, acquisitions, and other strategic business transactions while supporting deal execution from initial structuring through closing.

Key Responsibilities:

• Advise clients on mergers, acquisitions, and other corporate transactions
• Draft and negotiate purchase agreements, operating agreements, and related transaction documents
• Conduct and manage due diligence processes for complex transactions
• Structure deals and provide strategic guidance on transaction terms and risk allocation
• Coordinate with opposing counsel, financial advisors, and other stakeholders throughout deal execution
• Support corporate governance matters and general business advisory work
• Assist with transaction closings and post-closing integration matters
• Maintain strong client communication and provide strategic legal guidance

Required Qualifications:

• 3+ years of experience in corporate law with a focus on mergers and acquisitions
• Strong experience drafting and negotiating transaction documents
• Familiarity with due diligence processes and deal structuring
• Excellent legal research, writing, and analytical skills
• Ability to manage multiple transactions simultaneously in a fast-paced environment
• Strong attention to detail and organizational skills
• Excellent communication and client relationship management abilities
• Active admission to the applicable state bar in good standing
• Juris Doctor (JD) from an accredited law school required
