Corporate Associate Attorney

A sophisticated business law firm is seeking a Corporate Associate Attorney to join its expanding transactional practice. The firm represents private companies, investors, and business owners on complex corporate matters and strategic transactions. Known for its high-level deal work and collaborative legal environment, this opportunity offers direct exposure to sophisticated transactions, meaningful client interaction, and long-term professional development within a respected corporate practice.

The Corporate Associate Attorney will assist in advising clients on a wide range of corporate matters while supporting transactional work from initial structuring through closing.

Key Responsibilities:

• Support mergers, acquisitions, and other corporate transactions
• Draft and review transaction documents including purchase agreements, operating agreements, and ancillary documents
• Conduct and manage due diligence processes
• Assist with deal structuring and risk analysis
• Coordinate with opposing counsel, financial advisors, and transaction stakeholders
• Support corporate governance matters and general business advisory work
• Participate in transaction closings and post-closing matters
• Maintain ongoing communication with clients regarding transaction progress and strategy

Required Qualifications:

• 2+ years of corporate law experience in a law firm environment
• Experience supporting mergers and acquisitions or other corporate transactions preferred
• Strong legal research, writing, and analytical skills
• Familiarity with due diligence and transactional documentation
• Ability to manage multiple projects in a fast-paced transactional environment
• Strong attention to detail and organizational skills
• Excellent communication and client relationship management abilities
• Active admission to the applicable state bar in good standing
• Juris Doctor (JD) from an accredited law school required
